Terms & Conditions

Effective date: 25/10/2026

Last updated: 25/10/2026

These Terms & Conditions (“Terms”) govern your use of the Soothing Sounds mobile application and its dedicated informational website at www.soothingsoundsapp.com. Please read them carefully. These Terms are specific to Soothing Sounds and do not apply to other Apricot Electronics Limited products or services.

1. Who we are

Soothing Sounds is owned and operated by Apricot Electronics Limited, a private limited company registered in England and Wales.

Company name: Apricot Electronics Limited

Trading name: Apricot Electronics

Company number: 15078038

Registered office: Dalton House, 9 Dalton Square, Lancaster, Lancashire, LA1 1WD, United Kingdom

General and app support: info@apricot-electronics.com

Privacy enquiries: privacy@apricot-electronics.com

In these Terms, “Apricot Electronics Limited”, “we”, “us” and “our” mean Apricot Electronics Limited. “You” and “your” mean the person using the App or Website.

2. Scope of these Terms

These Terms apply only to (a) the Soothing Sounds mobile application for iOS and Android (the “App”), and (b) the Soothing Sounds website at www.soothingsoundsapp.com (the “Website”). Together, we refer to these as the “Soothing Sounds services” where appropriate.

The Website provides information about the App and links to download it. It does not itself sell in-app upgrades or provide user accounts.

These Terms do not govern other mobile applications, the general Apricot Electronics website, engineering or consultancy services, or other products and services offered by Apricot Electronics Limited. Those may be subject to separate terms.

Please read these Terms before using the App or Website. By downloading, installing or using the App, or using the Website, you agree to follow these Terms to the extent they form a legally binding agreement with you. If you do not agree, do not use the relevant service. Nothing in these Terms limits your mandatory rights under applicable law.

3. Related policies and app-store terms

Our Soothing Sounds Privacy Policy, available through the Website and from links in the App where provided, explains how personal data is handled in connection with the App and Website.

Your download, purchase and use of the App may also be subject to the relevant app store’s terms, usage rules and licence agreement. For iOS, Apple’s standard Licensed Application End User License Agreement applies unless a valid custom app licence is provided through the App Store. Where an app-store requirement applies, these Terms are to be read consistently with that requirement and applicable law.

4. Age requirements

The App and Website are intended for a general audience and are not directed to children under 13. Anyone below the age at which they can legally agree to these Terms must use the App only with appropriate parental or guardian permission and supervision and in accordance with app-store rules.

Although some audio may be used by adults to create a calming environment for infants or children, the App is intended to be operated and supervised by a responsible adult. See section 10 for additional safety guidance.

5. Permitted and prohibited use

You may use the App and Website for lawful personal purposes and in accordance with these Terms. You must not:

• breach applicable law or app-store rules when using the App or Website;

• attempt to gain unauthorised access to the Website, App, associated systems or servers;

• interfere with operation, security or availability, including by introducing malicious code;

• copy, scrape, harvest or commercially exploit Website or App content except as permitted by law or expressly allowed by us;

• misrepresent your identity, impersonate another person or use the services for fraudulent or abusive purposes;

• reverse engineer, decompile, disassemble or attempt to extract source code from the App except where applicable law expressly permits this.

You remain responsible for how you use your device and for complying with local laws.

6. Availability, maintenance and updates

We aim to make the App and Website reliable, but we do not promise that either will always be available, uninterrupted, compatible with every device or free from faults.

We may make updates or modifications for security, accessibility, compatibility, legal compliance, bug fixes or reasonable product improvement. Features may operate differently depending on your device, operating system, app version, permissions and settings.

If a change materially affects paid functionality, we will act fairly, take reasonable account of existing purchases and respect any rights or remedies you have under applicable consumer law.

7. Licence to use the App

The App is licensed, not sold. Subject to these Terms and the rules of the app store through which you obtained it, we grant you a limited, non-exclusive, non-transferable licence to install and use the App on compatible devices you own or control for personal, non-commercial purposes. Any sharing permitted by an app store (such as qualifying family sharing) remains subject to that store’s rules.

This licence does not transfer ownership of the App, its software or its content. You must not distribute, resell, rent, sublicense, remove proprietary notices from, or otherwise exploit the App except where permitted by law or by relevant app-store rules.

Where an applicable app-store licence gives you additional rights or imposes mandatory conditions, those rights and conditions continue to apply.

8. About Soothing Sounds

Soothing Sounds is an audio-based relaxation, mindfulness and wellbeing app. Depending on the app version and device, it allows users to create personalised sound sessions using timers, ambient sounds, music, audio mixing and other playback options, including bilateral audio.

The App can be used for purposes such as relaxation, winding down, concentration and creating background sound. Audio content available within the App may be used offline after the App has been installed and any necessary assets are available on the device.

Descriptions on the Website and in app-store listings explain product functionality but are not promises that a particular health, sleep, learning or wellbeing outcome will occur.

9. Wellbeing and medical disclaimer

Soothing Sounds is intended for general relaxation, mindfulness and wellbeing purposes. It is not a medical device, medical treatment, diagnostic service, mental health service or emergency service.

Neither the App nor the Website provides medical advice or is intended to diagnose, monitor, prevent, treat or cure tinnitus, insomnia, anxiety, hearing conditions or any other physical or mental health condition. We do not guarantee relief from symptoms, improved sleep, reduced tinnitus, or any particular clinical or therapeutic outcome.

Do not use information or audio from Soothing Sounds as a substitute for advice, diagnosis or treatment from a suitably qualified healthcare professional. If you have an existing medical condition, persistent tinnitus or sleep difficulties, or concerns about whether particular sounds are suitable for you, seek professional advice.

If you believe you or another person may be experiencing a medical or mental health emergency, contact your local emergency services or an appropriate crisis support service promptly.

10. Safe and responsible listening

You are responsible for selecting sensible playback volumes, session lengths and listening conditions. Prolonged or excessively loud audio, including through headphones or earbuds, can affect hearing or cause discomfort. Reduce the volume or stop listening if you experience pain, dizziness, distress or worsening symptoms.

Do not use the App in a way that prevents you from noticing traffic, alarms, other people or important environmental sounds, including when driving, cycling or operating machinery.

If an adult chooses to play the App for an infant or child, they must supervise its use, keep the device and any cables safely out of reach, position speakers at a suitable distance, maintain a low volume and continue to follow recognised safe-sleep and childcare guidance. The App is not a baby monitor, safety alarm or substitute for adult supervision.

Personal reactions to sound vary. You should stop using any sound or feature that causes discomfort or concern.

11. Free and premium features

Soothing Sounds is free to download and offers an optional one-time premium upgrade. The App does not currently offer a monthly or recurring subscription for premium access.

The free version includes access to the available sound and music library and may include advertisements and limitations, including session timers of up to 15 minutes and restrictions on background or screen-off playback.

The premium upgrade currently offers additional convenience features, which may include:

• longer timed sessions, including durations above 15 minutes and up to 120 minutes;

• a free-running mode without a preset session limit;

• background audio and audio playback with the screen off, subject to device and operating-system conditions;

• removal of advertisements shown by the App;

• other premium controls or previews expressly identified within the App at the time of purchase.

The specific features and price offered to you are shown in the App and relevant app store before purchase. Both iOS and Android versions are intended to offer the same core free and premium feature set, although device or operating-system behaviour may differ.

We may reasonably update the feature set over time, but we will not use these Terms to remove statutory rights that apply to purchased digital content.

12. One-time lifetime upgrade

Where offered, the premium upgrade is a single, non-recurring purchase. “Lifetime” means access to the applicable premium entitlement for the lifetime of the Soothing Sounds app on the supported purchase platform, subject to technical availability, store requirements and your mandatory consumer rights. It does not mean your personal lifetime or a guarantee that the App will remain supported forever on every future device or operating-system version.

A lifetime upgrade does not include unrelated products, future separate apps or services from Apricot Electronics Limited unless expressly stated when purchased.

Purchases and restored entitlements are generally associated with the relevant app-store account and platform. A purchase on one platform should not be assumed to unlock the other platform unless we expressly confirm cross-platform entitlement. If you change platforms, please check the purchase information or contact us before purchasing again.

If we discontinue the App or materially reduce purchased functionality, this section does not remove any refund, repair, replacement, price reduction or other remedy that applicable law gives you.

13. Payments, purchases and refunds

In-app purchases are offered through Apple’s App Store for iOS and Google Play for Android, using their applicable billing and purchase systems. Purchase verification and premium entitlement management may also be supported by a third-party service provider. The Website is informational and does not process payments for premium upgrades.

The price, currency, taxes and purchase conditions applicable to your transaction are presented by the relevant app store before you confirm payment. We do not receive your full payment card information from those store transactions.

If you have a problem completing or restoring a purchase, email info@apricot-electronics.com with your device, platform, app version and a description of the problem. Please do not send payment card information.

You can request a refund through the store that processed your transaction, subject to the store’s procedures and applicable law. Apple purchases can generally be reviewed at reportaproblem.apple.com; Google Play purchases can generally be reviewed through Google Play purchase history or its support pages. The existence of a store refund process does not limit your mandatory consumer rights or any remedy you may have against us.

14. Advertising

The free version of the App displays third-party advertisements through Google AdMob. Advertising content, its appearance and availability may depend on your region, device, settings and any applicable consent choices.

We do not necessarily endorse the products, services or claims shown in third-party advertisements and are not responsible for the independent content of advertisers’ websites or services, except where the law requires otherwise.

The premium upgrade removes advertisements served within the App as a premium feature. The Soothing Sounds Website does not display advertising, including AdMob advertising.

Information about advertising-related data processing and privacy choices is provided in our Soothing Sounds Privacy Policy.

15. External links and third-party services

The App or Website may link to app stores, third-party sites, email applications, feedback services or other external resources. Following a link may take you away from services operated by Apricot Electronics Limited.

Third parties are responsible for their own content, services, terms and privacy practices. We do not control them and cannot guarantee their accuracy, security or availability. This does not exclude responsibility that we are legally required to accept.

16. Website information and functionality

www.soothingsoundsapp.com is a simple informational and promotional Website for Soothing Sounds. It presents product information and directs visitors to the App; it does not provide account registration, an on-site contact form, paid memberships or direct purchases.

We take reasonable care to keep Website information accurate, but screenshots, descriptions and feature summaries may change as the App develops. The details displayed in the App and the relevant store at the time of purchase are important when deciding whether to buy an upgrade.

The Website may use basic visitor analytics to understand how many people visit it. Any personal data and cookies or similar technologies used for that purpose are described in our Soothing Sounds Privacy Policy and managed in accordance with applicable law.

17. Intellectual property

Except where otherwise stated, the App and Website, including their software, structure, text, names, branding, logos, graphics, icons, artwork, audio, interfaces and other content, are owned by or licensed to Apricot Electronics Limited and are protected by applicable intellectual property laws.

You must not reproduce, publish, distribute, make available, sell, license or commercially exploit any of that material without our prior written permission, except for ordinary personal use of the App or Website, sharing functions expressly provided by us, and uses allowed by law.

No ownership rights are transferred to you by accessing the Website, downloading the App or purchasing premium access.

18. App audio and media content

The App includes audio and media that we own or license for use within Soothing Sounds. Your right to play that content is limited to normal use of the App in accordance with these Terms.

You must not extract, record for redistribution, copy, resell, repackage, upload, publish, sublicense or otherwise distribute audio tracks, sound effects, music, artwork or other media from the App outside its permitted functionality without authorisation or an applicable legal right.

19. Feedback and suggestions

If you voluntarily send feedback, bug reports, ideas or feature requests, we may consider and use that information to maintain or improve Soothing Sounds without an obligation to provide payment or attribution, unless we agree otherwise in writing.

Please do not send content that infringes another person’s rights, and do not include sensitive personal information unless reasonably necessary for your enquiry. Our Privacy Policy explains how we handle personal data received when you contact us.

20. User accounts and communication

Neither the App nor the Website currently requires or offers a Soothing Sounds user account. You do not need to register with us to use the App, although the applicable app store may require its own account to download the App or purchase premium access.

The Website does not offer a contact form. If you need help or wish to send feedback, you can contact us using the email address in section 33.

21. Privacy and data protection

Our Soothing Sounds Privacy Policy explains how personal data may be processed when you use the App, visit the Website, view in-app advertising, make a purchase or contact us for support.

Please read that policy for information about third-party service providers, analytics, cookies or similar technologies, international processing and your privacy rights. For privacy questions, email privacy@apricot-electronics.com.

22. Consumer rights

Nothing in these Terms excludes, restricts or takes away any right or remedy that cannot lawfully be excluded, including rights relating to digital content being as described, of satisfactory quality and fit for any applicable purpose.

Depending on where you live, you may have legal remedies if digital content is faulty or does not meet legally required standards. Relevant remedies may include repair or replacement, a price reduction, or a refund in circumstances prescribed by law. App-store processes do not replace those rights.

If these Terms conflict with mandatory consumer protection law that applies to you, that law takes priority.

23. Disclaimers and technical limitations

Subject to your statutory rights, we do not promise that the App or Website will always be available, free from bugs or compatible with every device, operating system or configuration.

Background and screen-off audio, offline availability, audio mixing, sound output, alerts, and purchase verification can be affected by device capabilities, system updates, permissions, battery-saving measures and third-party services. We will take reasonable care in providing Soothing Sounds, but cannot guarantee identical behaviour across all devices.

The wellbeing disclaimers in section 9 and listening guidance in section 10 apply whenever you use the App or rely on descriptions of its intended uses.

24. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, breach of your mandatory consumer rights, or any other liability that cannot lawfully be limited or excluded.

We are responsible for reasonably foreseeable loss or damage you suffer where it results from our breach of these Terms or failure to use reasonable care and skill, subject to applicable law. A loss is foreseeable if it was an obvious consequence or was within the contemplation of both you and us when the relevant agreement was made.

We are not responsible for loss caused solely by your misuse of the App or Website, failure to follow reasonable safety guidance, or a third party’s independent acts where we are not legally at fault.

The App and Website are intended for personal use. To the extent permitted by law, we are not responsible for business losses such as lost profit, lost revenue, business interruption or loss of business opportunity arising from unauthorised commercial use.

Nothing in this section reduces remedies available to you for faulty digital content or damage to your device where consumer law gives you those remedies.

25. Responsibility for misuse

If your unlawful conduct or material breach of these Terms causes us direct and reasonably foreseeable losses, you may be responsible for those losses to the extent the law permits. You are not required to compensate us for losses caused by our own negligence, breach of contract or other matters for which we are legally responsible.

26. Suspension, restrictions and withdrawal

We may restrict access to the Website or take proportionate steps in relation to misuse of the App where reasonably necessary to address unlawful conduct, security threats, platform requirements or serious breaches of these Terms.

We may also discontinue or withdraw a feature or the App where there are legitimate technical, legal or commercial reasons. Where practical and appropriate, we will provide reasonable information about a material change or discontinuation. Our decisions under this section remain subject to the consumer rights and remedies described in section 22, including rights associated with a paid upgrade.

27. Events outside our reasonable control

We are not responsible for delays or disruptions caused by circumstances beyond our reasonable control, such as major network outages, app-store failures, operating-system restrictions, cyber incidents not caused by our failure to take reasonable care, legal restrictions or natural disasters.

We will take reasonable steps to minimise disruption where it is within our control. This section does not override any mandatory right you have under applicable law.

28. Changes to these Terms

We may update these Terms to reflect changes in the App, Website, law or business operations. The current version will be made available on www.soothingsoundsapp.com and the “Last updated” date will be revised.

Where a change materially affects how the App or a paid entitlement is supplied, we will provide notice where reasonably practicable or required by law and will respect your existing contractual and statutory rights. Updated Terms will apply from the date stated in the updated version to the extent permitted by applicable law.

If you do not agree to updated Terms, you should stop using the relevant service, subject to any rights or remedies you may have regarding a purchase.

29. Severability

If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply. Where the law permits, an affected provision will be interpreted as narrowly as necessary to make it valid without changing its intended substance.

30. Waiver

If we delay or do not enforce a right under these Terms, that does not mean we have waived the right. A waiver must be expressly given and will not automatically apply to future circumstances.

31. Transfer

We may transfer our rights and obligations under these Terms in connection with a genuine business reorganisation, sale or transfer, provided this does not reduce rights you have under mandatory consumer law. We will notify users where legally required.

You may not transfer your licence to use the App except where a transfer is permitted by applicable law or app-store terms.

32. Governing law and disputes

These Terms are governed by the law of England and Wales. If you are a consumer living elsewhere, you may also benefit from mandatory protections of the law of your country of residence, and nothing in these Terms removes those protections.

If a problem arises, please contact us first so we can try to resolve it. Where permitted by law, the courts of England and Wales will have jurisdiction. This does not prevent you from using courts or legal procedures available to you under mandatory consumer protection rules in your place of residence.
